# Terms of Use

_Effective 2026-10-17_

_Updated 2026-10-17_

DATAWIN reviews company profiles and facilitates potential introductions. An assessment is not a data license, a purchase offer, or a guarantee of an outcome.

## Overview

These Terms of Use (“Terms”) govern the DATAWIN website at [datawin.si](https://datawin.si), our company assessment, and related qualification and introduction communications (collectively, the “Services”). The Services are operated by **Zaza Ventures, LLC doing business as DATAWIN** (“DATAWIN,” “we,” “us,” or “our”), located in Phoenix, Arizona, United States.

“You” means the person using the Services and, where that person has authority to act for an organization, that organization.

**Our role is limited to reviewing company profiles and facilitating potential introductions. We do not collect, ingest, anonymize, prepare, store for licensing, or deliver your underlying business datasets through these Services.**

## 1. Agreement and eligibility

When you submit an assessment or otherwise expressly accept these Terms, you agree to them. If you do not agree, do not submit an assessment or request Services. Your use of publicly available website content is subject to the applicable conditions stated here to the extent enforceable under applicable law.

You must be at least 18 years old and legally capable of entering into an agreement. If you act for a company or other organization, you represent that you have authority to submit its profile and accept these Terms on its behalf.

Authority to submit a company profile does not necessarily establish authority to license that company’s data. We do not treat submission of an assessment as proof of data ownership or licensing authority.

Our [Privacy Notice](https://datawin.si/privacy) explains how we handle information. Acknowledging that notice is not blanket consent to marketing, buyer disclosures, or future data processing.

## 2. What DATAWIN does

The Services may include:

- Collecting information you provide about your company, team, operations, systems, categories of records, retained history, and rights or restrictions.
- Comparing that information with available criteria for potential AI data buyers, intermediaries, or other relevant organizations.
- Reviewing potential fit and contacting you for clarification.
- Providing general educational information about business data licensing.
- Requesting your permission to introduce your company to a specifically identified organization.

We may use software to organize profiles and support matching. Our assessment is preliminary and based on the information available to us. Criteria, programs, and buyer interests can change.

DATAWIN is not an AI lab or a guaranteed purchaser. Inclusion or mention of an organization does not establish that it endorses DATAWIN, has a contractual relationship with us, or is currently buying your category of data.

## 3. What the Services do not include

The Services do not include dataset uploads, access to your company systems, collection of customer or employee records, extraction, anonymization, labeling, quality certification, dataset hosting, licensing execution, or delivery of datasets to buyers.

They also do not include legal, privacy, security, tax, investment, or financial advice; a formal data valuation; or a determination that any proposed data use is lawful.

Any future service involving underlying datasets requires a separate scope, appropriate agreements, and updated disclosures before it begins. These Terms do not authorize that activity.

## 4. Assessment results and no guaranteed outcome

An assessment, score, internal match, recommendation, or introduction is informational. It is not an offer to buy data, a binding qualification decision, a certification of rights, or a promise of income.

We do not guarantee:

- That a profile will be reviewed within a particular time.
- An introduction, buyer response, acceptance, negotiation, or agreement.
- A particular valuation, price, payment, or commercial result.
- That available buyer criteria are complete or remain current.
- That every potentially suitable organization will be identified.

Each prospective buyer makes its own decisions. You should independently evaluate any proposed transaction and obtain appropriate professional advice. You are free to decline an introduction or stop participating.

## 5. Information you provide

Provide information that is accurate to the best of your knowledge. You may identify uncertainty, provide reasonable estimates where requested, or select “not sure.” Do not misrepresent estimates as verified facts.

Only provide company-level information and business contact details that you are authorized to disclose. Notify us at [hi@datawin.si](mailto:hi@datawin.si) if material information changes or needs correction.

**Do not submit or email underlying datasets, source code, customer lists, employee files, medical records, financial account or payment-card details, government identifiers, passwords, API keys, privileged communications, or other sensitive records.** Do not include trade secrets or information restricted by an agreement unless separately requested through an expressly authorized process—which is outside the current Services.

If you inadvertently send sensitive material, notify us promptly without resending it. We may restrict access, decline review, and delete or return it as appropriate, subject to applicable obligations. Sending unsolicited material does not create a dataset processing or licensing engagement.

## 6. Your information and limited permission to use it

You retain your rights in the information you submit. You grant DATAWIN permission to receive, store, review, organize, and use your submitted profile and related communications only as reasonably necessary to provide and administer the Services, as described in the Privacy Notice and subject to your choices and applicable law.

This permission does not transfer ownership of your underlying datasets; grant a license to train AI models on them; authorize public publication of your profile; or allow DATAWIN to sell, sublicense, or distribute your underlying data.

We handle non-public submissions in accordance with the Privacy Notice. These Terms are not a separate nondisclosure agreement, and you should avoid submitting information that requires special confidentiality arrangements.

## 7. Introductions and permission to disclose

Submitting an assessment does not automatically authorize disclosure to prospective buyers.

Before sharing your identifiable profile with a prospective buyer or intermediary for an introduction, we will identify the organization, describe the information to be shared and the purpose, and request your specific permission. You may decline without being required to accept unrelated marketing.

You may withdraw permission for a disclosure that has not yet occurred by contacting us. Withdrawal cannot undo an earlier authorized disclosure. After receiving an introduction, the other organization may handle information under its own privacy notice and agreements; applicable privacy rights continue to apply.

Permission for an introduction does not authorize the recipient to collect or license your underlying datasets. Any such activity requires separate arrangements.

## 8. Referring organizations and commercial relationships

Chambers of commerce, associations, and other organizations may refer companies through links or co-branded pages. Each company decides independently whether to participate. A referring organization cannot consent to an introduction or data license on your behalf unless it has separate, valid authority.

Referring organizations receive aggregate reporting, not your individual assessment answers or contact information, through the current referral service.

DATAWIN may receive referral or success-based compensation from an organization involved in an introduction or subsequent transaction, and may compensate referring partners under separate agreements. If an introduction involves a compensation arrangement relevant to your decision, we will disclose that arrangement before requesting permission for the introduction.

Compensation can create a commercial interest. Our review is not an independent fiduciary evaluation or a representation that a proposed opportunity is the best available. Participation does not grant a referring organization or DATAWIN authority to bind your company.

## 9. Fees and separate agreements

Submitting the current company assessment does not create a fee, subscription, purchase obligation, or commitment to license data.

We will not charge you for additional services without separately presenting the applicable scope and charges and obtaining your agreement. No referral commission, exclusivity obligation, or restriction on your dealings with others is imposed on you by these Terms.

If you enter into a separate signed agreement with DATAWIN, it controls over these Terms to the extent of a conflict concerning its subject matter. A buyer’s agreement is between you and that buyer unless DATAWIN expressly becomes a party.

## 10. Communications

We may contact you about your submission, requests, permissions, and potential next steps using the contact details you provide. Optional promotional email requires the separate opt-in described in the Privacy Notice, and you may unsubscribe.

Providing a phone number does not by itself constitute consent to automated marketing calls or promotional text messages. Any such program would require separate disclosures and any legally required consent.

You may ask us to close your assessment. We may still send necessary administrative, legal, or privacy-request responses.

## 11. Acceptable use

Do not use the Services to:

- Submit fraudulent profiles, impersonate others, or misrepresent authority.
- Violate privacy, intellectual property, confidentiality, or other legal rights.
- Upload malware, credentials, sensitive records, or prohibited content.
- Access non-public records or systems without authorization.
- Circumvent security controls, interfere with the Services, or overload the site.
- Harvest contact information or use assessment forms for spam.
- Claim that DATAWIN or a named buyer has approved, certified, or endorsed you without authorization.

Ordinary indexing of publicly accessible pages by legitimate search engines is permitted subject to applicable technical controls and without access to non-public information. This permission does not authorize collection of assessment submissions or other restricted records.

## 12. Website content and third parties

DATAWIN and its licensors retain rights in the website’s original content, branding, and software. You may access the site and use reasonable excerpts for internal evaluation, retaining applicable notices. Other uses require permission unless allowed by law.

Third-party names and marks belong to their owners. Links are provided for convenience. We do not control third-party services, their availability, or their policies, and we do not guarantee their performance. Review their terms before providing information or entering an agreement.

## 13. Changes, suspension, and ending participation

We may modify or discontinue features and may suspend access when reasonably necessary to address misuse, security, legal obligations, or operational issues. Where practical and appropriate, we will notify affected users.

You may stop using the Services and request closure of your assessment at any time. Closing an assessment does not automatically erase information that must or may lawfully be retained; our Privacy Notice explains retention and requests.

Sections intended by their nature to continue, including intellectual property, limitations, disputes, and accrued obligations, survive termination to the extent applicable.

## 14. Disclaimers

To the fullest extent permitted by law, the Services and general information are provided “as is” and “as available.” DATAWIN disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement, and does not warrant uninterrupted, error-free, or completely secure operation.

Nothing in these Terms excludes warranties, duties, remedies, or protections that cannot lawfully be excluded. These disclaimers do not override our express privacy commitments or excuse a failure to comply with applicable law.

## 15. Limitation of liability

To the fullest extent permitted by law, DATAWIN and its officers, employees, and agents will not be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, business opportunities, or goodwill arising from the Services.

Subject to the exceptions below, our aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of **US $1,000** or the amounts you paid DATAWIN for the Services during the twelve months before the event giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that cannot be limited under applicable law. They do not restrict a regulator’s authority or remedies and do not override a separate agreement that expressly provides otherwise.

## 16. Third-party claims arising from misuse

To the extent permitted by law, a business accepting these Terms agrees to indemnify DATAWIN against reasonable losses and expenses arising from a third-party claim caused by that business’s fraudulent submission, knowing infringement of another person’s rights, or willful misuse of the Services.

This provision does not cover claims caused by DATAWIN’s own misconduct or breach of its obligations. We will give reasonably prompt notice of a covered claim, permit reasonable participation in its defense, and not agree to a settlement imposing an admission or nonmonetary obligation on you without your consent.

## 17. Governing law and disputes

Arizona law governs these Terms, without applying conflict-of-law rules, except where applicable law requires otherwise.

Subject to any mandatory right to bring a claim elsewhere, courts with appropriate jurisdiction located in Maricopa County, Arizona, will resolve disputes arising from these Terms or the Services, and the parties consent to their jurisdiction.

Before filing a claim, either party is encouraged to contact the other to seek a practical resolution. This is not a mandatory waiting period and does not prevent urgent relief, a timely filing, a privacy complaint, or contact with a regulator.

These Terms do not impose mandatory arbitration or a class-action waiver.

## 18. Updates and general provisions

We may update these Terms. We will post the revised version with its effective date and provide additional notice of material changes where appropriate or required. Changes apply prospectively. If renewed acceptance is required, we will obtain it before applying those changes to your ongoing participation.

If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. These Terms do not create a partnership, employment relationship, general agency, or fiduciary relationship.

Together with any applicable separate agreement, these Terms describe the agreement for the Services. The Privacy Notice governs our stated information-handling practices; nothing here expands a permission to disclose personal information.
